Terms of Use

These Terms govern the use of NELDAR, its interface and automation functions, and the rights and obligations of users.

1. Scope

These Terms of Use govern the use of the NELDAR software platform and the functions provided through it. By registering, the user accepts these Terms of Use.

NELDAR is intended for users who hold their own accounts with supported exchanges or trading platforms and wish to manage, analyse or use them for rule-based workflows through NELDAR. Personal data is processed in accordance with NELDAR's separate Privacy Policy.

2. Function of NELDAR

NELDAR is a software and interface platform that combines functions of supported exchanges and trading platforms through their APIs in a common user interface.

NELDAR is not an exchange, trading venue, broker or custodian. User trading accounts and assets remain with the respective exchanges or trading platforms. Their records are authoritative for executed orders, transactions, balances and other trading activity.

NELDAR provides supplementary tools for managing, displaying, processing and analysing trading data and for rule-based and semi-automated workflows and tasks.

3. Dependence on exchanges and interfaces

NELDAR's functionality depends on the technical capabilities, data and functions made available by each connected exchange through its API. Not every exchange provides the same scope, so individual functions may differ or be unavailable.

NELDAR calculates, supplements or derives certain information from available source data where technically possible and intended. Missing source data or API functions cannot always be replaced. API changes may directly affect NELDAR's functionality.

4. Registration and user account

A valid email address is required for registration. Unless expressly stated otherwise, other profile information does not have to correspond to the user's real identity.

The user must protect access credentials from unauthorised access and must not use or share the account in a way that gives unauthorised third parties access to functions, exchange connections or data.

NELDAR does not perform its own identity or age verification. Eligibility to open and use an exchange account is governed by the terms of the respective exchange or trading platform.

5. Exchange connections and API access

Exchange connections are configured by the user. The user may connect only accounts and API access they are authorised to use and is responsible for granting the required API permissions.

Available functionality depends on the API and permissions granted. NELDAR uses API credentials solely for the configured connection and related functions. API credentials are stored encrypted and are not stored in plaintext in the database.

6. Rule-based and semi-automated functions

NELDAR enables rule-based and semi-automated workflows and tasks. Settings, rules, conditions and parameters are defined or activated by the user.

Execution depends on the availability of NELDAR, the exchange, its API, internet connectivity and required data. Continuous, delay-free or exception-free execution is not guaranteed.

The user remains responsible for rules, parameters and workflows and for monitoring their execution and results. NELDAR must not be used as the sole technical safeguard for time-critical trading decisions, loss limitation or other actions where failure or delay may cause financial loss. Direct access to exchanges must be maintained.

7. No investment, financial or asset-management advice

NELDAR provides technical tools for managing, displaying, processing and analysing trading data and does not provide investment, financial or asset-management advice.

Calculations, statistics, analyses, evaluations and other information are not individual recommendations to buy, sell or hold any financial instrument or asset. Trading decisions are made by the user at their own responsibility. NELDAR does not guarantee any particular trading, investment or economic outcome.

8. Trading and exchange data

NELDAR processes data supplied by connected exchanges and their interfaces. NELDAR has no control over whether external exchanges provide data completely, correctly, on time or at all.

Missing, delayed, incomplete or incorrect data may cause gaps, discrepancies or incomplete evaluations. NELDAR does not guarantee 100% completeness or continuous availability of externally sourced data.

The user must verify material trading, account and transaction data against the original records of the relevant exchange. In case of discrepancies, the records of the exchange or trading platform prevail.

9. Tax reports and tax-related evaluations

NELDAR provides functions for the technical preparation and evaluation of tax-relevant trading data but does not provide tax advice.

Tax reports, calculations and evaluations do not replace the user's own review or individual advice from an authorised professional. The user is responsible for checking completeness and accuracy before use or submission to tax authorities, tax advisers or other bodies.

NELDAR does not guarantee that a tax report fully reflects the user's individual tax situation or meets all requirements of the competent tax authorities.

10. Local and reporting currency

Users of tax-report functions should select the local or reporting currency actually applicable to them. NELDAR uses this currency and the exchange rates applicable to the relevant transaction when preparing tax-relevant data.

The user is responsible for correct selection. Incorrect or arbitrary selection or changes affect tax evaluations and reports.

A currency change applies to transactions processed from the time of the change. Transactions already stored under the previous currency and the exchange rates applicable at that time remain unchanged and are not recalculated retroactively.

11. Free trial

Each user initially receives a free one-month trial. No paid order is required. The trial does not automatically convert into paid use. To continue using NELDAR afterwards, the user must actively purchase a paid usage period.

12. Paid usage periods

NELDAR offers paid usage periods of 1, 3, 6 or 12 months. The selected period is paid in full in advance and credited to the user account after successful payment confirmation.

If another period is purchased before the current period expires, it is added to the remaining term. Already paid remaining time is not lost.

13. No automatic renewal

NELDAR does not use automatic paid renewals. No automatic charge or renewal occurs when the purchased period expires.

To continue, the user must actively purchase a new period. No cancellation is required to prevent renewal; without a new purchase, paid access ends when the paid period expires.

14. Payment processing

Paid usage periods are paid in advance through an external payment service provider. NELDAR and the payment provider exchange the information required to allocate and process the payment.

After successful payment confirmation, the purchased period is assigned to the corresponding user account. NELDAR does not store full credit-card or comparable payment details.

15. Refunds and statutory consumer rights

No additional voluntary right of return, exchange or refund is granted for purchased usage periods. Mandatory statutory rights, including statutory withdrawal, warranty and other consumer rights, remain unaffected.

16. Availability of NELDAR

NELDAR is operated with the aim of providing reliable availability. There is no entitlement to uninterrupted, completely error-free or unrestricted availability of all functions at all times.

Restrictions or outages may result from maintenance, technical faults, server, network or internet problems, security measures, external services, exchange interfaces or API changes.

NELDAR is not the system on which the user's actual exchange accounts and assets are held. Exchanges and trading platforms remain the authoritative systems. Users must not rely exclusively on NELDAR for access to their trading accounts.

17. Changes and further development of functionality

NELDAR is technically developed further and adapted to changes in supported exchanges, interfaces and technical or legal requirements. Functions may be changed, extended or technically adjusted.

Functions dependent on external exchanges or interfaces may be restricted or discontinued if required data or capabilities are no longer provided. Previous availability does not create a right to permanent provision by the external provider.

18. User obligations

The user must use NELDAR only within its intended functions and applicable law.

  • Giving unauthorised third parties access to the user account.
  • Connecting third-party exchange accounts without authorisation.
  • Circumventing security mechanisms or deliberately disrupting or attacking the application or infrastructure.
  • Abusing vulnerabilities.
  • Using unintended automated access where it impairs operations.
  • Copying, reselling or offering NELDAR or substantial parts of it as the user’s own service without authorisation.

19. Suspension of a user account

NELDAR may temporarily restrict or suspend access where there are concrete indications of misuse, an attack on technical infrastructure, a material breach of these Terms or a risk to other users or systems. Security measures are limited to what is necessary; mandatory statutory rights remain unaffected.

20. User responsibility

The user is responsible for their settings, exchange connections, API permissions, rules, parameters and trading decisions and must check information for plausibility and completeness before decisions of material financial or tax significance.

NELDAR does not replace original exchange records, review of tax-relevant documents or professional advice.

21. Liability

NELDAR is liable in accordance with statutory law for damage caused intentionally or by gross negligence and for injury to life, body or health.

To the extent permitted by law, NELDAR is not liable for damage or disadvantages caused exclusively by circumstances outside its control, including outages, delays, incorrect data or functional changes of exchanges, trading platforms, APIs, external data sources, payment, internet, network or other external services.

To the extent permitted by law, NELDAR is not liable for financial disadvantages arising from the user's own trading decisions, settings or rules, incorrect information, unsuitable currency settings or unchecked use of evaluations and tax reports. No guarantee is given for profits, avoidance of losses, successful strategies or continuous execution of rule-based or semi-automated tasks. Mandatory statutory liability remains unaffected.

22. Intellectual property and right of use

NELDAR, its software, user interface, design and its own content and functions are legally protected. For the duration of authorised use, the user receives a personal, non-exclusive and non-transferable right to use NELDAR as intended.

This right does not permit copying, resale, sublicensing or other commercial exploitation of NELDAR or substantial parts. Third-party rights in names, trademarks, data and content remain unaffected.

23. End of usage entitlement

Free access ends after the one-month trial unless a paid period is purchased. Paid access ends when the purchased period expires unless another period is purchased. There is no automatic paid renewal.

After expiry there is no entitlement to continued use of paid functions. Statutory rights relating to data supplied or generated by the user and the Privacy Policy remain unaffected.

24. Changes to these Terms of Use

NELDAR may amend these Terms where changes to the service, technical developments, legal requirements or other objective reasons require an adjustment.

Existing registered users are informed of changes within NELDAR. Where the nature or scope of a change requires renewed consent, it will be obtained within NELDAR. New registrations are governed by the Terms published at the time of registration.

25. Privacy

Information on the processing of personal data, API credentials, technical data, support data and data exchange with payment providers is contained in NELDAR's separate Privacy Policy, available both within NELDAR and publicly on the website.

26. Applicable law

The contractual relationship is governed by German law. For consumers, this choice applies only insofar as it does not deprive them of mandatory protection under the law of the country of their habitual residence.

27. Final provisions

If individual provisions are or become invalid, the remaining provisions remain unaffected. The applicable statutory rules replace invalid provisions. Mandatory statutory rights of the user are not restricted by these Terms.
